Terms of Use

These Terms of Use (“Terms”) are an agreement between you and Cardspark LLC (“Cardspark,” “we,” “us,” or “our”). They govern your access to and use of Cardspark's website, connected applications, MCP services, and related features (collectively, the “Service”).

By creating or connecting a Cardspark account or otherwise using the Service, you agree to these Terms and acknowledge our Privacy Policy. If you do not agree, please do not use the Service.

The Service

Cardspark helps collectors identify cards, organize collections and tracked cards, save searches, and explore card and market information. Cardspark may be accessed through ChatGPT and other supported experiences.

The Service is currently offered without charge. We may add, remove, test, or change features as Cardspark develops. If we introduce paid services in the future, we will present the applicable price and payment terms before you purchase them.

Eligibility

You must be at least 13 years old to use Cardspark. If you are under the age of legal majority where you live, you may use the Service only with permission from a parent or legal guardian, who is responsible for your use of the Service and agreement to these Terms. You may not use the Service if applicable law prohibits you from doing so.

Accounts and connected services

You are responsible for maintaining the security of your account and for activity authorized through it. Tell us promptly if you believe your account or connected access has been compromised. Cardspark may rely on third-party authentication and connected services, including ChatGPT, which are governed by their own terms and policies.

Edge testing access

Cardspark may selectively provide some users with access to experimental or advanced features identified as “Edge.” Edge is currently invitation-only testing access, is not available for purchase, and is not a subscription or permanent entitlement. We may modify, limit, or withdraw Edge access at any time.

Market information and estimates

Card identities, prices, price histories, population figures, sales, collection values, and related information are estimates assembled from third-party data and user selections. They may be incomplete, delayed, stale, unavailable, or incorrect.

Cardspark does not authenticate, grade, appraise, insure, buy, or sell cards. The Service is provided for informational and organizational purposes and is not financial, investment, legal, tax, or insurance advice. You are responsible for independently verifying information before buying, selling, trading, grading, insuring, or otherwise making decisions about cards or collections.

Your content and data

You retain your rights in information and content you provide to Cardspark. You give Cardspark a limited, worldwide license to host, process, reproduce, and transmit that content only as reasonably necessary to operate, secure, and provide the Service you request.

You represent that you have the rights needed to provide that content and that our permitted use of it will not violate law or another person's rights. Our handling of personal information is described in the Privacy Policy.

Acceptable use

You agree not to:

• Use the Service for unlawful, fraudulent, or abusive activity.
• Access accounts, data, systems, or features without authorization.
• Interfere with the Service, introduce malicious code, evade safeguards or rate limits, or probe for vulnerabilities except through a program we expressly authorize.
• Scrape or access the Service by automated means except through interfaces and uses we expressly permit.
• Impersonate another person, misrepresent card information for fraudulent purposes, or violate intellectual-property or privacy rights.

Third-party services and data

Cardspark depends on third-party platforms, services, and data providers, including OpenAI, Supabase, Railway, and Scrydex. We do not control their availability, policies, or all information they provide. Cardspark is an independent service and is not made, sponsored, or endorsed by OpenAI or by the owners of the trading-card brands and content referenced through the Service.

Cardspark property

Cardspark and its licensors retain all rights in the Service, including its software, interface, design, documentation, branding, and original content. These Terms do not transfer any ownership interest to you. Card names, images, artwork, trademarks, and third-party data remain the property of their respective owners.

Availability and changes

We work to keep Cardspark useful and available, but we do not guarantee uninterrupted operation, permanent storage, or continued availability of any feature or third-party data. You should keep independent records of information that is important to you. We may change, suspend, or discontinue portions of the Service, with notice when reasonably practical.

Suspension and termination

You may stop using Cardspark at any time and may request account deletion as described in the Privacy Policy. We may restrict or terminate access when reasonably necessary to protect the Service or others, respond to legal requirements, address security risk or abuse, or enforce these Terms. We will provide notice when reasonably practical.

Disclaimers

To the maximum extent permitted by law, the Service is provided “as is” and “as available.” Cardspark disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from a course of dealing or usage of trade. We do not warrant that the Service or its information will always be accurate, complete, secure, uninterrupted, or error-free.

Nothing in these Terms limits warranties or consumer rights that cannot lawfully be excluded.

Limitation of liability

To the maximum extent permitted by law, Cardspark and its officers, employees, contractors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, goodwill, or opportunities, arising from or related to the Service.

To the maximum extent permitted by law, Cardspark's total liability for all claims arising from or related to the Service will not exceed the greater of the amount you paid Cardspark for the Service during the 12 months before the event giving rise to the claim or $100 USD. These limitations do not apply to liability that cannot lawfully be limited or excluded.

Informal resolution and governing law

Before filing a formal legal claim, you and Cardspark agree to make a good-faith effort to resolve the dispute informally for 30 days. A notice should describe the dispute, relevant account information, and the relief requested, and should be sent to privacy@cardspark.app. This process does not prevent either party from seeking urgent relief or filing in time to preserve a legal right.

New York law governs these Terms, without regard to its conflict-of-laws rules. Any dispute not resolved informally will be brought in the state courts located in Kings County, New York, or the federal courts in the Eastern District of New York, and you and Cardspark consent to their jurisdiction. Nothing in these Terms prevents you from exercising rights that applicable law does not permit you to waive.

Changes to these Terms

We may update these Terms as Cardspark develops. We will post the revised Terms here, update the date above, and provide additional notice when required by law or when a change is materially important. Changes apply prospectively from their stated effective date.

General terms and contact

If a provision of these Terms is unenforceable, the remaining provisions remain effective. A failure to enforce a provision is not a waiver. You may not transfer your rights under these Terms without our consent; Cardspark may transfer these Terms as part of a merger, financing, acquisition, reorganization, or sale of assets. These Terms and the Privacy Policy form the entire agreement between you and Cardspark regarding the Service.
